Based upon the name reservation, there will be no problem in having Wanderbook, Inc. incorporated under that name. As I have previously discussed with you, there is a 7-business day turnaround for the processing and receipt of certified Articles of Incorporation from the Secretary of State. Given the Thanksgiving holiday, this wait could be elongated. Therefore, I have asked of my Sacramento agent, Paul Stanier, and he has agreed (although there will be a small additional charge for his services) to obtain from his behind the counter sources at the Secretary of State's office on Monday or Tuesday the corporate number and the date of incorporation. He will telephone me at the moment he receives this information. With that data in hand, I can obtain a Federal Employer I.D. Number from the Internal Revenue Service even though I lack having in hand the actual corporate papers at the time I make application for the Federal Employer I.D. Number. The obtaining of that number is a same day process. Once you have the Federal Employer I.D. Number, you can go to Lucent or anyone else for that matter and conduct business as a corporation. With this dynamic solution to having you move forward at the rapid pace I have deduced from our conversations you desire, the next issue is filing for an Intent to Use Application to Register Trademark with the United States Patent and Trademark Office. I am unclear from Clay's E-Mail Memorandum to both of us dated 11/07/00 whether his is okay with going forward and registering Wanderbook as a trademark.
